ARTICLES OF INCORPORATION FOR The Waterboyz FOR JESUS, Inc.
( A Maryland Non-stock Corporation)

FIRST: The undersigned, Paul K. Foss, Lawrence H. Goldman and Ralph E. Jones,
being at least eighteen years of age, do hereby form a corporation under Title 5, Corporations and Associations Articles, Annotated Code of Maryland and the general laws of the State of Maryland.


SECOND: The corporation shall be a non-stock corporation. The corporation has no authority to issue capital stock.

THIRD: The name of the Corporation (hereinafter called “corporation”) is The Waterboyz FOR JESUS, Inc.

FOURTH: The purpose for which the corporation is formed is to disciple men in the principles of a Christian life and teach the application of these principles to their lives and in community with others. The organization will endeavor to undertake acts of service for the community at large and support other charitable endeavors. In addition to and extension of the foregoing, said corporation is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code and also is organized so as to qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

FIFTH: The street address of the principal office of the corporation in Maryland is 5310 Sovereign Place, Frederick, Maryland 21703.

SIXTH: The name of the resident agent of the corporation in Maryland is Paul K. Foss whose address is 5310 Sovereign Place, Frederick, Maryland 21703. He is a resident of the State of Maryland.

SEVENTH: The directors of the corporation shall be called “Trustees”. The number of Trustees of the Corporation shall initially be three (3) and may be increased to as many as thirteen (13) under terms and conditions as will appear in the By-Laws of the corporation, but shall never be less than three (3). The names and addresses of the persons who are initial trustees of the corporation and who shall act on its behalf until the first meeting or until their successors are duly chosen and qualified are as follows:

EIGHTH: The duration of the corporation shall be perpetual.

NINTH: No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Fourth hereof. No substantial part of the activities of the corporation shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future tax code.

Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such
organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

IN WITNESS WHEREOF, we have signed these Articles of Incorporation and severally acknowledged the same to be our act on this 28th day of October, 2005. We further verify that to the best of our knowledge, information and belief, these matters and facts are true in all material respects, and these statements are made under the penalties of perjury.

2007 Waterboyz Treasurer's Letter  [TOP]

To the Executive Board, Trustees and Table Leaders:

Attached you will find the results of the activities of “ The Waterboyz For Jesus, Inc.” for the first eight months of our fiscal year running from November 1, 2006 through June 20, 2007.  These past eight months have found this organization funding construction and operation of an orphanage in India, providing Christmas for families who were too poor to provide for themselves, feeding the poor and homeless in Baltimore, helping a divorcee fix her residence which she could not afford to do on her own, assisting a grieving, young couple pay for the funeral of their child, help the Antietam Business owners raise funds to help pay their mortgages after a fire destroyed their properties, and just recently, display to the community of Frederick the effect 100 hundred men singing to their God can have on hearts and minds of Jesus’ followers. I’d say, for the first eight months of the year, we’ve been pretty busy effectively advancing the Lord’s kingdom. And we have done this relatively efficiently with the resources the Lord has provided to this organization through its volunteers and volunteer’s friends and family.

There are a few points I would like to note:

1) All programs but three plus administration have been self funded. In other words….they paid for themselves through donations.

2) We have pledged $20,000 to the India Mission of which we have funded $11,000 to date. This is one of our unfunded programs to date.

3) In eight months, a group of less than 50 men have raised through scraps, asks, and one very generous donation over $39,200. And the year is not yet over.

4) There has not been one financial request or need that we have not been able to meet assuming it was within our mission statement and by-laws.

I have been associated with this organization since its founding and have overseen the growth and use of its funds. My brothers, all I can say is that I cannot be any prouder than to serve with and for a group of men who have the hearts and compassion that is reflected in these reports. Numbers don’t mean anything….but when you know the stories and the hearts behind them….they tell so much. “….Religion that God our Father considers pure and faultless is this:

  • to look after widows and orphans…..” Gentlemen, I commend you and thank Jesus for you.
  • Let’s make the rest of the year better for those who need to know that Christianity is alive and well with “The Waterboyz For Jesus” as its proof.

To the Executive Board, Trustees and Table Leaders:

You have entrusted me with one of the greatest joys an individual could have…to be able to sign my name to checks that make a difference in the lives of individuals all over the world.  I could stand before you and list the number of people my signature and your good will have helped over the past year…some are Demonte Fowlkes, Chris Miller, Mama Sue,
dozens of unknown orphans in India, Angie Chandler and more.  Through the generosity of your scraps, donations of others and one very generous gift, The Waterboyz For Jesus find themselves in the wonderful position of being cash strong and committed to doing what the Lord commands….”to look after the orphans and widows in their distress….”.

In our fiscal year ended October 31, 2007, God has seen fit to provide us with $48,346.12. These dollars came as follows:

During the year we helped our own through the Benevolence program.  Those who have been served such as Demonte and Shana Fowlkes learned of community support during their grief over the loss of their son; business owners at Antietam Village can thank this group for the support given as well as Mt. Airy property owners.  Those who hunger in
Baltimore for food as well as His spirit can thank you; orphans in India can thank you for not only cool water, but a future wing on an orphanage; ten families in the Frederick and Washington County area can thank you for a Christmas that they might not have had if not for you (I know Angie Chandler does) and many women  looked up to you and even followed you with awe when you united in one voice on Father’s Day.  My dear friend said to me the other day that another organization of which I’m affiliated is probably the best kept secret in Frederick.  You men, once a secret, are now proclaiming yourself and your faith to the Frederick area by the deeds and actions you do.   Be proud warriors, but be humble for all we have done has been through His anointing .

So we start the new fiscal year with $19,200 in the bank and visions of how we can continue to serve.  In November or December a few of our members will be going to India to seeThe Waterboyz For Jesus  orphanage wing  and to see the progress of another orphanage we were instrumental in getting funded.  My brothers, I continue to be in awe of what we’ve
done and what we can do with God’s blessing.  All things are possible through God.  This year is full of promise if we use what He’s given us for His work.  Let’s do it again.
